AUTHORIZED INTERNET RESELLER POLICY NORTH AMERICA
By purchasing Char‑Broil, LLC (“Char‑Broil”) products and brands for resale, you agree to adhere to this Authorized Internet Reseller Policy. This Authorized Internet Reseller Policy shall apply to all U.S. and Canadian internet resellers (collectively, “Resellers”) who resell Char‑Broil products to end-user customers via the internet.
Char‑Broil has implemented this Authorized Internet Reseller Policy (the “Internet Reseller Policy”) to protect Char‑Broil’s premium brand products in the marketplace. Char‑Broil believes that its end-user customers are best served by having Resellers who market Char‑Broil products as premium brand products and who provide an outstanding level of service and support to their end-user customers.
In order to maintain and protect the viability of the Char‑Broil Reseller network for its products, in order to protect the value associated with Char‑Broil brands in connection with its products, and in order to ensure high-quality support by Resellers to end-user customers of those products, Resellers must comply with the following terms and conditions:
- Internet Sales Prohibited Except Through Resellers’ Owned Websites. Resellers are prohibited from selling Char‑Broil products on the internet, unless a Reseller applies for, is approved by Char‑Broil, and executes an Authorized Internet Reseller Agreement for a Reseller’s directly owned and operated website(s). Resellers may not place Char‑Broil products for sale on third-party websites or marketplace websites unless approved by Char‑Broil and subject to an Authorized Internet Reseller Agreement, including but not limited to, eBay, Amazon 3P and Walmart.com.
- Transshipping. Resellers may not transship products. Specifically, Resellers shall not sell or transfer any Char‑Broil products to any other person or entity for resale. Resellers agree to restrict, cease, or limit the sale of Char‑Broil products to anyone at the request of Char‑Broil.
- Geographic Sales Boundary. Resellers may only sell and advertise for sale Char‑Broil products within the U.S. and Canada (collectively, “North America”). Char‑Broil hereby expressly prohibits Resellers from soliciting or consummating sales outside of North America without prior written approval from Char‑Broil.
- Intellectual Property. The use of the intellectual property of Char‑Broil, including, but not limited to trademarks, tradenames, product images, marketing banners, and other digital assets, without prior written consent from Char‑Broil is prohibited.
- Sales Practices. Resellers may only conduct their business in a reasonable and ethical manner at all times and shall neither engage in any deceptive, misleading, or unethical practices or advertising at any time, nor make any warranties or representations concerning the products except as expressly authorized by Char‑Broil. Resellers must comply with any and all applicable laws, rules, regulations, and policies related to the advertising, sale, and marketing of Char‑Broil products.
- Wholesale (B2B2B) Reselling. Resellers wishing to engage in wholesale reselling must apply for, receive written approval from Char‑Broil, and execute an Authorized Distributor Agreement for each account to provide assurances to Char‑Broil that such account will also adhere to the Internet Reseller Policy.
- Product Packaging. Resellers may only sell Char‑Broil products in their original packaging. Relabeling, repackaging (including the separation of bundled products or the bundling of separate products), and other alterations are not permitted. Tampering with, defacing, or otherwise altering any serial number, UPC code, batch or lot code, warning, or other identifying information on products or their packaging is strictly prohibited. Resellers may not remove, translate, or modify the contents of any label or literature on or accompanying the products.
- Internet Minimum Advertised Price (“IMAP”) Policy. Reseller acknowledges that Reseller has been informed of Char‑Broil’s IMAP Policy as it applies to the advertisement for sale of Char‑Broil products on the internet. There is no agreement, express or implied, between Char‑Broil and Reseller with respect to the advertised or resale pricing of products.
- Additional Terms and Conditions. Resellers agree to comply with the additional terms and conditions set forth by Char‑Broil from time to time which may be changed by Char‑Broil in its sole discretion.
Char‑Broil reserves the right to update, amend, or modify this Internet Reseller Policy at any time. Unless otherwise provided, such amendments will take effect immediately, and a Reseller’s continued use, advertising, offering for sale, or sale of the products will be deemed Reseller’s acceptance of the amendments.
If Char‑Broil determines that a Reseller is in violation of this Internet Reseller Policy, Char‑Broil may take any and all appropriate legal action, including, but not limited to, refusing to accept orders from the Reseller or instructing its distributors to refuse to accept orders from the Reseller.
